Agreement to Our Legal Terms. These Terms are a binding agreement between you (“you”) and Quantum Bridge Systems LLC (“Company,” “we,” “us,” “our”). They govern your access to and use of our website quantumbridgesystems.com and all related products and services that reference these Terms (collectively, the “Services”). If you do not agree, do not use the Services.

What We Do. QBS provides AI voice receptionists, call handling, missed-call text back, lead intake and qualification, scheduling, integrations and workflow automation, analytics and dashboards, and Reputation Management (Google Reviews) including automated review invitations, monitoring, response assistance, and review widgets.

1. Our Services

Access may be restricted where unlawful. You are responsible for local compliance.

2. Intellectual Property Rights

Our IP. We own or license all content, code, features, designs, and marks in the Services. Provided “as is” for your internal business use.

Your License. Subject to these Terms, we grant a revocable, non-transferable, non-exclusive license to access the Services and download or print permitted content for internal use only. All other rights are reserved.

3. User Representations

  • All registration data is accurate and current.
  • You are of legal age and have capacity to agree.
  • No automated or unlawful use.

4. User Registration

You may need an account. Keep credentials confidential. We may reclaim usernames that are objectionable.

5. Purchases & Payment

Prices may change. You agree to pay all fees, taxes, and valid charges in USD and keep payment details current. We may refuse or limit orders.

6. Subscriptions

Auto-renewal. Renews until canceled. Cancel anytime in your account; effective at the end of the paid term. We may change fees with notice consistent with law.

7. Prohibited Activities

  • No scraping, reverse engineering, or circumvention of security.
  • No illegal, abusive, deceptive, or infringing use.
  • No unauthorized automated access or excessive system burden.

8. User Generated Contributions

Contributions may be visible to others. You are responsible for what you post and must have rights to share it. We may remove or edit content in our discretion.

9. Contribution License

By posting Contributions, you grant us a worldwide, perpetual, transferable, sublicensable, royalty-free license to use and display them as part of the Services and our operations. You retain ownership.

10. Social Media

You may link third-party accounts. Your use of those services is governed by their terms. You can disconnect at any time.

11. Third-Party Websites and Content

We are not responsible for third-party sites or content. Your interactions with them are at your own risk.

12. Services Management

We may monitor, restrict, or remove content, and manage the Services to protect rights and ensure proper functioning.

13. Privacy

See our Privacy Policy: quantumbridgesystems.com/privacy-policy. By using the Services, you consent to processing in the United States.

14. Copyright Infringements

If you believe content infringes your copyright, contact us. You may be liable for misrepresentations.

15. Term and Termination

We may suspend or terminate access for violations or risks. You may not re-register after termination without permission.

16. Modifications and Interruptions

We may change or discontinue the Services. Availability is not guaranteed. We are not liable for downtime or interruptions.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict rules.

18. Dispute Resolution

Exclusive venue and jurisdiction in Tarrant County, Texas state and federal courts. Any claim must be filed within one year of accrual.

19. Corrections

We may correct errors and update information at any time.

20. Disclaimer

The Services are provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law.

21. Limitations of Liability

To the fullest extent allowed, we are not liable for indirect or special damages. Our aggregate liability is limited to the lesser of fees paid in the one-month period before the claim or USD $500.

22. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Services, your content, violations of these Terms, or rights of others.

23. User Data

We may keep data for Services performance. You are responsible for backing up your data. We are not liable for loss or corruption.

24. Electronic Communications, Transactions, and Signatures

You consent to electronic communications and signatures satisfying legal requirements for written records.

25. SMS Text Messaging

Opt-out. Reply “STOP” to opt out. Standard carrier rates may apply. For help, email [email protected].

26. California Users and Residents

You may contact the California Department of Consumer Affairs if a complaint is not resolved.

27. Miscellaneous

These Terms plus any referenced policies are the entire agreement. No waiver unless in writing. Unenforceable provisions are severed. We may assign these Terms. Parties are independent contractors. Force majeure applies. Notices may be sent to your account email.

28. Definitions

  • Client: The business using QBS to contact its own customers and manage reviews.
  • End Customer: The Client’s customer who may receive review requests or scheduling messages.
  • Google Business Profile: Google’s business listing and reviews platform.
  • Default Messaging Preferences: QBS templates and cadence unless customized by Client.
  • Applicable Laws: Privacy and communications laws such as TCPA, CAN-SPAM, CCPA/CPRA, and similar.

29. Scope of Services

QBS sends on your behalf: review invitations (email/SMS), missed-call text backs, confirmations, reminders; provides dashboards; integrates with CRMs, calendars, telephony, and Google Business Profile; and offers AI tools for transcription, summaries, and response assistance. QBS does not guarantee removal of negative reviews and does not create fake or incentivized reviews.

30. Client Responsibilities

  • Obtain valid consent from End Customers before messaging.
  • Comply with all privacy and communications laws and provide required notices.
  • Provide accurate, lawful contact data and promptly honor opt-outs.
  • Maintain integrations, credentials, and tokens.
  • Secure any required call-recording or monitoring consents in your jurisdiction.

31. Messaging Content & Automation

  • You authorize QBS to send messages that appear from your business using default or customized templates and cadence you configure.
  • You are responsible for message content and frequency. Avoid review gating or prohibited practices.
  • QBS honors “STOP” and unsubscribe where supported and will suppress further messaging to that contact.

32. Data Use & Storage

  • Roles. For your uploaded data, you are the Controller and QBS is your Processor. For QBS account data, QBS is the Controller.
  • We process End Customer data only to provide the Services, not to sell or market to them.
  • We use reasonable safeguards. No method is 100% secure.
  • On termination or request, we delete or return data unless law requires retention.

33. Service Limitations & No Guarantees

  • No guarantee of number, rating, or content of reviews, or of business performance.
  • Availability may be affected by third-party networks and APIs.
  • The Services are provided “as is.”

34. Termination & Suspension

  • You may cancel anytime; effective end of the paid term.
  • We may suspend or terminate for violations, risks, or legal requirements. No refund if terminated for cause.
  • Export needed data before closure.

35. Indemnification Clause

You represent that all contacts you upload have consented to receive communications. You will defend and indemnify QBS for claims arising from lack of consent, opt-out violations, unlawful messaging, or data/privacy breaches caused by your actions or instructions.

36. Other Terms

  • We may update these Terms; continued use means acceptance.
  • Entire agreement; severability; no waiver; assignment; independent contractors; force majeure; notices.
